1. Applicable Terms and Conditions

These general terms and conditions (hereinafter: "Terms and Conditions") apply to every offer made by the entrepreneur and to every agreement concluded between the entrepreneur and the consumer (hereinafter: "the Agreement"). Deviations from these Terms and Conditions are only valid if they have been expressly agreed in writing.

2. Identity of the Entrepreneur

The entrepreneur is established in Belgium and can be reached via the contact details provided on the website. The entrepreneur is registered with the Crossroads Bank for Enterprises (KBO) under the applicable VAT number.

3. The Offer

The offer contains a complete and accurate description of the products and/or services offered. The offer is valid for the period stated therein, unless otherwise indicated. The entrepreneur is entitled to change the offer if the consumer has not yet accepted it.

4. The Agreement

The Agreement is concluded at the moment of acceptance by the consumer of the offer and compliance with the conditions set by the entrepreneur. If the consumer has accepted the offer electronically, the entrepreneur will immediately confirm receipt of the acceptance electronically.

5. Right of Withdrawal

The consumer has the right to dissolve the Agreement within 14 days without giving any reason, with due observance of the statutory provisions. The withdrawal period starts on the day after the consumer or a third party designated by the consumer, who is not the carrier, has received the product. During this period, the consumer may handle the product only to the extent necessary to assess its nature, characteristics, and functioning.

6. Costs in Case of Withdrawal

If the consumer exercises the right of withdrawal, the consumer must return the product with all accessories and in its original condition and packaging to the entrepreneur, in accordance with the instructions provided by the entrepreneur. The direct costs of returning the product are for the account of the consumer. If the consumer has already paid an amount, the entrepreneur will refund this amount as soon as possible, but no later than 14 days after the withdrawal.

7. Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to products that have been made to the consumer's specifications, that are clearly personal in nature, that cannot be returned due to their nature, or that are subject to rapid deterioration or aging. Furthermore, the right of withdrawal does not apply to services that have been fully performed with the consumer's express consent before the end of the withdrawal period.

8. Price

All prices are in euros and include VAT, unless otherwise stated. Shipping costs are not included in the price unless otherwise agreed. The entrepreneur is entitled to change the prices of products and services, provided that the consumer is informed of this in advance and the consumer has the right to dissolve the Agreement.

9. Payment

Payment must be made within the payment term stated on the invoice or in the offer. The consumer is obliged to immediately report inaccuracies in payment details provided or stated to the entrepreneur. If the consumer fails to pay on time, the consumer is in default by operation of law and the entrepreneur is entitled to charge the statutory interest and any extrajudicial collection costs.

10. Delivery and Execution

The entrepreneur will execute the Agreement with due care and expertise. The entrepreneur will deliver the products within the agreed term. If no term has been agreed, delivery will take place within 30 days. If the entrepreneur cannot deliver the products within the agreed term, the consumer is entitled to dissolve the Agreement without costs.

11. Retention of Title

All delivered products remain the property of the entrepreneur until the consumer has fully paid all amounts due under the Agreement. The consumer is not entitled to sell, pledge, or otherwise encumber the products subject to retention of title until the full purchase price has been paid.

12. Warranty and Conformity

The entrepreneur guarantees that the products and/or services comply with the Agreement, the specifications stated in the offer, the reasonable requirements of reliability and/or usability, and the legal provisions existing on the date of the conclusion of the Agreement. If the delivered product does not comply with the Agreement, the consumer must inform the entrepreneur within a reasonable time after discovery of the defect.

13. Complaints Procedure

Complaints about the execution of the Agreement must be submitted to the entrepreneur fully and clearly described within a reasonable time after the consumer has discovered the defects. The entrepreneur will respond to the complaint as soon as possible, but no later than within 14 days of receipt. If a complaint cannot be resolved by mutual agreement, a dispute arises that is subject to the dispute resolution procedure.

14. Liability

The entrepreneur is not liable for damage that is attributable to intent or gross negligence on the part of the entrepreneur. The entrepreneur's liability for indirect damage, including consequential damage, loss of profit, lost savings, and damage due to business interruption, is excluded. The entrepreneur's liability is at all times limited to the amount paid out by the entrepreneur's liability insurer in the relevant case.

15. Force Majeure

In case of force majeure, the entrepreneur is not obliged to fulfil the Agreement and is not liable for damage suffered by the consumer as a result. Force majeure includes, among other things: war, threat of war, civil war, riots, strikes, blockades, fire, flooding, earthquakes, storms, traffic jams, disruptions in the energy supply, disruptions in the internet, network, or telecommunications infrastructure, and other events beyond the entrepreneur's control.

16. Applicable Law and Disputes

Dutch law applies to the Agreement and these Terms and Conditions. All disputes arising from or related to the Agreement or these Terms and Conditions will be submitted to the competent court in the place of business of the entrepreneur, unless a mandatory legal provision designates another court. The entrepreneur is also entitled to submit the dispute to the competent court in the consumer's place of residence.

17. Changes to the Terms and Conditions

The entrepreneur is entitled to change these Terms and Conditions. Changes will be communicated to the consumer in a timely manner. If the consumer does not agree with the changes, the consumer is entitled to dissolve the Agreement with effect from the date on which the changes take effect.

18. Final Provisions

If any provision of these Terms and Conditions is declared invalid or void, the remaining provisions will remain in full force and effect. The entrepreneur is entitled to replace the invalid or void provision with a valid provision that is as close as possible to the original provision. These Terms and Conditions are filed with the competent court and/or the Chamber of Commerce, as required by law.
