1. Definitions

In these general terms and conditions, the following terms shall have the meanings assigned to them below:

• Stad*: The natural or legal person who purchases goods or services from the Principal.
• Principal: The natural or legal person who offers goods or services to the Stad*.
• Agreement: The agreement between the Principal and the Stad*.
• Goods: All goods and services offered by the Principal.
• Writing: Any form of communication in text, including e-mail and other electronic means of communication.

2. Applicability

These general terms and conditions apply to all offers, agreements, and deliveries of the Principal, unless expressly deviated from in writing.

3. Offers and Formation of the Agreement

• All offers of the Principal are without obligation, unless stated otherwise in the offer.
• The Agreement is concluded upon acceptance by the Stad* of the offer or order confirmation from the Principal.
• If the Stad* has not accepted an offer or order confirmation within the period set by the Principal, the Principal is entitled to withdraw the offer or order confirmation.

4. Prices

• All prices are in euros, unless stated otherwise.
• Prices are exclusive of VAT and other government levies, unless stated otherwise.
• The Principal is entitled to adjust the agreed price if, after the conclusion of the Agreement, an increase occurs in one or more cost-determining factors, such as raw material prices, wages, exchange rates, or import duties.

5. Delivery and Delivery Time

• Delivery takes place from the Principal's warehouse, unless agreed otherwise in writing.
• The delivery time stated by the Principal is indicative and never a strict deadline. Exceeding the delivery time does not entitle the Stad* to dissolution or compensation, unless the Principal is in default after being given a reasonable period in writing.
• The Principal is entitled to deliver the goods in parts. The Principal may invoice each partial delivery separately.

6. Transfer of Risk

The risk of loss, theft, or damage to the goods passes to the Stad* at the moment they are placed at the disposal of the Stad* or are delivered to the Stad*.

7. Retention of Title

• The goods delivered by the Principal remain the property of the Principal until the Stad* has paid all amounts due under the Agreement, including interest and costs.
• The Stad* is not entitled to pledge or encumber the goods subject to retention of title in any other way.
• If the Stad* fails to fulfill its payment obligations, the Principal is entitled to take back the delivered goods. The Stad* grants the Principal access to its premises for this purpose.

8. Obligations of the Stad*

• The Stad* is obliged to take delivery of the purchased goods at the agreed time.
• The Stad* is obliged to provide all information and cooperation necessary for the proper execution of the Agreement.
• The Stad* is obliged to immediately inspect the delivered goods for defects. Any defects must be reported to the Principal in writing within 14 days after delivery.

9. Payment

• Payment must be made within 30 days after the invoice date, unless agreed otherwise in writing.
• If the Stad* fails to pay within the term, the Stad* is in default by operation of law. From the day the Stad* is in default, the Stad* owes interest of 1% per month on the outstanding amount, unless the statutory commercial interest is higher, in which case the statutory commercial interest applies.
• All reasonable costs incurred by the Principal to collect the claim, both judicial and extrajudicial, are for the account of the Stad*. The extrajudicial collection costs are set at 15% of the principal sum with a minimum of €250.

10. Warranty and Complaints

• The Principal warrants that the delivered goods comply with the Agreement and the specifications stated in the offer.
• The Stad* must report any visible defects to the Principal in writing within 14 days after delivery. Hidden defects must be reported immediately after discovery, but no later than 6 months after delivery.
• If a defect is reported in time, the Principal is obliged, at its choice, to either repair or replace the defective goods or to credit the Stad* for the purchase price. The Stad* has no further right to compensation.
• The warranty does not apply if the defect is caused by normal wear and tear, improper use, or maintenance by the Stad*.

11. Liability

• The Principal's liability is limited to the invoice value of the goods to which the liability relates, with a maximum of €10,000 per event.
• The Principal is never liable for indirect damage, including consequential damage, loss of profit, lost savings, or damage due to business interruption.
• The limitations of liability in this article do not apply if the damage is caused by intent or gross negligence on the part of the Principal or its management.

12. Force Majeure

• In case of force majeure, the Principal is not obliged to fulfill its obligations towards the Stad*. Force majeure includes, among other things: war, threat of war, terrorism, riots, strikes, fire, flooding, natural disasters, transport difficulties, import and export restrictions, and failure of suppliers.
• If the force majeure situation lasts longer than 2 months, both parties are entitled to dissolve the Agreement in writing, without any obligation to compensate damages.

13. Dissolution

• If the Stad* fails to fulfill its obligations under the Agreement, the Principal is entitled to dissolve the Agreement without judicial intervention, without prejudice to the Principal's right to compensation.
• If the Stad* is declared bankrupt, applies for a suspension of payments, or if its assets are seized, the Principal is entitled to dissolve the Agreement immediately and without notice of default.

14. Intellectual Property

• All intellectual property rights to the goods delivered by the Principal rest exclusively with the Principal or its licensors.
• The Stad* is not permitted to change, remove, or render illegible any indication of intellectual property rights on the goods.

15. Privacy

The Principal processes personal data of the Stad* in accordance with its privacy statement, which can be found on the Principal's website.

16. Applicable Law and Disputes

• These general terms and conditions and the Agreement are governed by Dutch law.
• All disputes arising from or related to the Agreement will be submitted to the competent court in the district where the Principal is established, unless mandatory legal provisions prescribe otherwise.

17. Changes to the General Terms and Conditions

The Principal is entitled to change these general terms and conditions. Changes will be communicated to the Stad* in writing. If the Stad* does not object to the changes within 14 days after notification, the Stad* is deemed to have accepted the changes.
